Terms of Use

Please read these Terms of Use ("Agreement" or "Terms of Use") carefully before using the Service offered by Herond Browser. This Agreement sets forth the legally binding terms and conditions that govern your access to and use of the Herond Browser and all associated software, services, and integrations (“Services”) provided by Herond Labs Corporation (“Herond,” “we,” “us,” or “our”).

By downloading, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines, policies, or terms incorporated by reference, including Herond’s Privacy Notice and Copyright Dispute Policy.

Acceptance of Terms

He Service is offered subject to acceptance without modification of all of these Terms of Use and all other operating rules, policies, and procedures that may be published from time to time in connection with he Service by Herond. In addition, some services offered through he Service may be subject to additional terms and conditions promulgated by Herond from time to time; your use of such services is subject to those additional terms and conditions, which are incorporated into these Terms of Use by this reference.

Herond may, in its sole discretion, refuse to offer the Service to any person or entity and change its eligibility criteria at any time. This provision is void where prohibited by law, and the right to access he Service is revoked in such jurisdictions.

Modification of Terms of Use

Herond reserves the right, at its sole discretion, to modify or replace any of the Terms of Use or change, suspend, or discontinue he Service (including, without limitation, the availability of any feature, database, or content) at any time by posting a notice on the Herond website or Services or by sending you an email. Herond may also impose limits on certain features and services or restrict your access to parts or all of the Service without notice or liability. It is your responsibility to check the Terms of Use periodically for changes. Your continued use of he Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

Other Policies

If you believe that material or content residing on or accessible through he Service infringes a copyright, please review Herond's Copyright Dispute Policy at the bottom of these Terms of Use.

Third-Party Services

Herond Browser provides access through integrations with a number of independent third-party technologies and service providers ("Third-Party Services") to enable certain Web3, blockchain, and fiat functionalities. Such integrations may include, but are not limited to:

• Key Security Service;

• Transaction Services;

• Fiat On-ramp Providers;

• Data and Display Providers.

By using features or functions that rely on these Third-Party Services, you acknowledge and agree that:

• Each Third-Party Service operates independently under its own terms of use and privacy policies.

• Your interaction with these services constitutes a separate contractual relationship between you and the respective provider, governed exclusively by that provider’s own terms and conditions.

• You assume all risks associated with accessing or using he Service of Third Party Service Provider.

• Herond acts solely as an integrator and facilitator of technical connections, not as a custodian, intermediary, or agent in any transaction or data exchange.

• Herond does not own, operate, or control any such services, and makes no representation or warranty regarding their accuracy, availability, performance, or compliance.

• Herond has no control over the accuracy, security, or availability of Third-Party Services and shall not be liable for any loss or damages arising therefrom.

• Herond may modify, suspend, or discontinue any integration at any time, without prior notice, for reasons including but not limited to compliance, technical maintenance, or security concerns.

When you use the Herond Browser to access Third-Party Services, certain limited technical or transactional data may be required to be transmitted. Herond does not store, collect, or process any personally identifiable information (PII) or private key data unless explicitly provided by you through those external services.

All such data exchanges are encrypted in transit and processed only to enable the requested functionality. Herond implements a strict data minimization policy and complies with applicable data protection regulations.

Use of Third-Party Services is further subject to each provider’s privacy notice and data-handling practices, which Herond does not control or audit.

Non-Custodial Service

Herond Browser is provided on a non-custodial basis for any Product(s) provided. Herond does not at any time receive, store, or have access to your private keys, seed phrases, hardware wallet credentials, or any other means of authorizing blockchain transactions.

You are solely responsible for safeguarding your private keys, seed phrases, hardware wallet credentials and for all transactions executed using them.

Herond shall not be liable for any loss, compromise, unavailability, or misuse of your credentials, or for any unauthorized transactions conducted through or in connection with the Service, or shall not recover or reset the loss of private keys, seed phrases, hardware wallet credentials.

Fiat On-ramp Providers

Any purchase of digital assets using fiat currency through a Third-Party Fiat On-Ramp Provider (such as Transfi) is conducted, will constitute a separate contractual relationship between you and such provider.

Such transactions may be subject to separate KYC/AML procedures, transaction limits, and regulatory obligations imposed by the provider or relevant law.

Herond does not collect or process any payment credentials or fiat data, and shall not be liable for any delay, reversal, dispute, or loss arising from such fiat-based transactions.

Data and Display Providers

Any data displayed by the Herond Browser including token, NFT, assets, prices, metadata, and explorer links, remote procedure call infrastructure etc are provided “as is” from independent data sources (e.g., Alchemy, Helius, Ankr, SimpleHash, Block Explorers, or other explorers).

Herond does not warrant the accuracy, completeness, timeliness, or reliability of such data and assumes no liability for any trading, financial, or transactional decisions made based on them.

Herond shall not be liable for any trading losses or damages resulting from reliance on third-party data or market information.

Rules and Conduct

As a condition of use, you promise not to use the Service for any purpose that is prohibited by the Terms of Use. For purposes of the Terms of Use, the term "Content" includes, without limitation, any information, data, text, photographs, videos, software, scripts, graphics, and interactive features generated, provided, or otherwise made accessible on or through the Service. By way of example, and not as a limitation, you shall not:

Use the Service in any manner that violates any applicable laws or regulations.

Use the Service to engage in any illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable conduct.

Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity.

Interfere with or disrupt the Service or servers or networks connected to the Service, or disobey any requirements, procedures, policies, or regulations of networks connected to the Service.

Upload, post, transmit, or otherwise make available any Content that you do not have a right to make available under any law or under contractual or fiduciary relationships (such as inside information, proprietary, and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements).

Upload, post, transmit, or otherwise make available any Content that infringes any patent, trademark, trade secret, copyright, or other proprietary rights of any party.

Upload, post, transmit, or otherwise make available any unsolicited or unauthorized advertising, promotional materials, spam, junk mail, chain letters, pyramid schemes, or any other form of solicitation.

Upload, post, transmit, or otherwise make available any material that contains software viruses or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software or hardware or telecommunications equipment.

Engage in any activity that would interfere with or disrupt the Service or the servers or networks connected to the Service.

Violate any applicable laws or regulations regarding the transmission of technical data or software exported from the United States or the country in which you reside.

Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks connected to the Service, through hacking, password mining, or any other means.

Collect or store personal data about other users without their express permission.

Modify, adapt, translate, or reverse engineer any portion of the Service.

Use any robot, spider, site search/retrieval application, or other manual or automatic device or process to retrieve, index, scrape, data mine, or in any way reproduce or circumvent the navigational structure or presentation of the Service or its contents.

Use or attempt to use another user's account, service, or system without authorization from Herond or create a false identity on the Service.

Herond reserves the right to investigate and take appropriate legal action against anyone who, in its sole discretion, violates this provision, including, without limitation, removing the offending Content from the Service, suspending or terminating the account of such violators, and reporting you to the law enforcement authorities.

By using the Service, you acknowledge that Herond has no obligation to monitor your access to or use of the Service or to review or edit any Content but has the right to do so for the purpose of operating the Service, ensuring compliance with these Terms of Use, or complying with applicable law or the order or requirement of a court, administrative agency, or other governmental body.
